7.2. Counter-Notification Procedure

9.2. Binding Arbitration

  • Arbitration Agreement: If the dispute is not resolved within 30 days of receiving your Notice, either you or AmbulanceCoordinator.com LLC may initiate binding arbitration as the sole means to resolve the dispute (except as provided in Section 9.3 below). You expressly waive your right to a trial by jury or to participate in a class action.
  • Arbitration Rules: The arbitration will be conducted by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, where applicable, its Consumer Arbitration Rules. The arbitration will be conducted in Little Rock, AR, or a location mutually agreed upon by the parties with deference going to AmbulanceCoordinator if a location cannot be mutually agreed upon.
  • Arbitration Costs: The costs of the arbitration, including the arbitrator’s fees, will be shared equally by the parties, except where the arbitrator finds that the arbitration was frivolous or brought for an improper purpose, in which case the prevailing party will be entitled to recover its reasonable attorney's fees and costs.
  • Arbitrator’s Authority: The arbitrator shall have the authority to grant any relief that would be available in a court of law under these Terms. The arbitrator’s decision will be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

9.3. Exceptions to Arbitration

  • Small Claims Court: You or AmbulanceCoordinator.com LLC may assert claims, if eligible, in small claims court in Pulaski County District Court in Little Rock, Arkansas 72204 rather than arbitration.
  • Injunctive Relief: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s intellectual property rights.

9.4. Class Action Waiver

  • Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.

9.5. Governing Law

  • Governing Law: This Dispute Resolution Clause and any arbitration or litigation arising out of or related to this Dispute Resolution Clause or the enforcement thereof shall be governed by the laws of the State of Arkansas, without regard to its conflict of law principles.

9.6. Severability

  • Severability: If any portion of this Dispute Resolution Clause is found to be unenforceable or unlawful for any reason, (a) the unenforceable or unlawful provision shall be severed from these Terms; (b) severance of the unenforceable or unlawful provision shall have no impact whatsoever on the remainder of the Dispute Resolution Clause or the parties’ ability to compel arbitration of any remaining claims on an individual basis pursuant to the Dispute Resolution Clause.

10. Payment Terms and Subscription Information

By subscribing to and using the AmbulanceCoordinator.com LLC Service, you agree to the following payment terms and subscription conditions. These terms ensure transparency and outline your obligations regarding payments and the subscription process.

10.1. Subscription Plans

10.2. Payment Information

  • Auto-Renewal: Unless you cancel your subscription in accordance with Section 10.5 (Cancellation and Termination), your subscription will automatically renew at the end of each billing cycle at the then-current rate for your chosen plan. 10.3. Changes to Fees

10.5. Cancellation and Termination

If you cancel, your subscription will remain active until the end of the current billing cycle, after which it will not be renewed. You will not receive a refund for any portion of the subscription period that has already been billed.

If you downgrade, the new plan's fees will take effect in the next billing cycle.
  • Impact on Service: Upgrading or downgrading your plan may affect the features and services available to you. AmbulanceCoordinator.com LLC is not responsible for any loss of data or functionality due to a plan change.

11. Returns and Refund Information
